Use the site and our apps reasonably and lawfully. We provide them as-is and do our best, but there are limits on our liability. These Terms are governed by Texas law. The full terms are below.
These Terms of Service ("Terms") are a binding agreement between you and AC Forge, LLC ("AC Forge," "we," "us," or "our"), a Texas limited liability company. They govern your access to and use of ac-forge.com (the "Site") and the applications and services we make available, including Thyme Capsule and tabout (collectively, the "Services").
By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
2The Services
AC Forge designs, builds, and operates its own consumer software. Some Services are available now, and others are in development and may change, be delayed, or be discontinued. Individual applications may have their own additional terms or end-user license agreements; where an app's specific terms conflict with these Terms, the app-specific terms control for that app.
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for doing so.
3License to use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. All rights not expressly granted are reserved.
4Acceptable use
You agree not to:
- Use the Services in any way that violates applicable law or regulation;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Probe, scan, or test the vulnerability of the Services, or breach any security or authentication measures;
- Copy, scrape, or harvest content or data from the Services except as expressly permitted;
- Reverse engineer, decompile, or disassemble any part of the Services, except to the extent that restriction is prohibited by law;
- Use the Services to transmit malware or any harmful or unlawful material; or
- Misrepresent your identity or affiliation, or use the Services to infringe the rights of others.
5Intellectual property
The Site and Services, including all software, text, graphics, logos, the "AC Forge" name and mark, and the names and marks of our applications, are owned by AC Forge or its licensors and are protected by intellectual-property laws. Except for the limited license above, these Terms do not grant you any right, title, or interest in the Services or our intellectual property.
6Your content
Where a Service lets you create or store content, you retain ownership of the content you create. You are responsible for that content and for having the rights necessary to use it. To the extent a Service requires us to process your content in order to provide the Service to you, you grant us the limited rights necessary to do so. Our handling of personal information is described in our Privacy Policy.
7Third-party links and services
The Services may contain links to, or interoperate with, third-party websites and services that we do not control, including the dedicated sites for our applications. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk and subject to their terms.
8Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, AC FORGE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AC FORGE AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
10Indemnification
You agree to indemnify and hold harmless AC Forge and its members, officers, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services or your violation of these Terms or applicable law.
11Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and the governing-law terms — will survive.
12Governing law and venue
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to informal resolution will be the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
13Dispute resolution
Before filing any claim, you agree to first contact us at hello@ac-forge.com and attempt in good faith to resolve the dispute informally. Most concerns can be resolved this way.
14Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes are effective when posted, and your continued use of the Services after that constitutes acceptance of the updated Terms.
15Miscellaneous
These Terms, together with the Privacy Policy and any app-specific terms, are the entire agreement between you and AC Forge regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
